Terms of Service

1. Acceptance of Terms

By accessing or using Upwind's website (upwindgrowth.com) or any services provided by Meridian Compass LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Upwind provides GovCon growth services including intelligence briefings, business development support, marketing services, and strategic advisory to government contractors. Our services include:

• Daily opportunity intelligence derived from public federal procurement data
• Competitive landscape analysis and contractor tracking
• Website design, development, and hosting
• Marketing collateral and content creation
• Business development strategy and outreach support
• Growth Audits based on publicly available data

3. AI-Assisted Services

Our services use artificial intelligence and machine learning to process and analyze publicly available federal procurement data — including SAM.gov, FPDS (Federal Procurement Data System), and USASpending.gov. AI-assisted analysis is used to:

• Score and rank contract opportunities for relevance
• Identify recompete and pipeline opportunities
• Analyze competitor positioning and award patterns
• Generate market briefs and opportunity summaries

AI-generated content is reviewed by our team before delivery. We do not resell raw database access or proprietary third-party data. All underlying procurement data is sourced from public domain federal records.

Limitation: AI analysis is not infallible. Opportunity scores, competitive assessments, and market intelligence are provided for informational purposes and should be independently verified before making significant business decisions.

4. Informational Purposes Only

All intelligence, analysis, and content delivered by Upwind is for informational purposes only. Nothing we provide constitutes:

• Legal advice or counsel
• Financial or investment advice
• A guarantee of contract wins or revenue outcomes
• Certification or official verification of set-aside status

Past contract award data is drawn from public records and may not reflect current status. Government procurement environments are subject to change. We make no warranties regarding the accuracy, completeness, or timeliness of opportunity data.

5. Subscription Plans and Billing

Upwind offers monthly subscription plans. By subscribing, you authorize Meridian Compass LLC to charge your payment method on a recurring monthly basis.

• Month-to-month: All plans are month-to-month with no long-term commitment required
• Annual plans: Annual subscriptions receive 2 months free (equivalent to ~17% discount) and are billed annually
• Cancellation: You may cancel at any time. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused periods
• Refunds: Refund requests submitted within 7 days of initial subscription start will be honored in full. After 7 days, no refunds are issued
• Payment processing: Payments are processed securely by Stripe. Meridian Compass LLC does not store payment card data

6. Free Growth Audit

The Free Growth Audit is provided at no charge and carries no obligation to purchase a subscription. The Audit is prepared using publicly available data and AI-assisted analysis. Results are informational and may not reflect real-time market conditions. By requesting an Audit, you consent to receive follow-up communications from Upwind about your results and related services. You may opt out at any time.

7. Data Sources and Intellectual Property

Upwind's intelligence services are built on public domain federal data. We do not license, resell, or redistribute proprietary third-party databases. Analysis, commentary, formatting, and scoring methodologies are proprietary to Meridian Compass LLC. Client deliverables (reports, briefs, websites, marketing materials) created specifically for a client become the client's property upon full payment.

8. Acceptable Use

You agree not to:

• Resell, sublicense, or redistribute Upwind deliverables to third parties without written permission
• Use our services to develop competing intelligence products
• Reverse-engineer our scoring or analytical methodologies
• Submit false or misleading information in the audit request form
• Attempt to access our systems beyond the scope of your subscription

9. Limitation of Liability

To the maximum extent permitted by law, Meridian Compass LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost contracts, or business interruption, arising from use of our services — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amounts paid by you to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Meridian Compass LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time for violation of these Terms, fraudulent activity, or for any other reason with reasonable notice. In the event we terminate your subscription without cause, we will provide a pro-rated refund for unused paid periods.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive the right to participate in class action lawsuits or class-wide arbitration.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email to active subscribers at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
